Terms of Service

1. Acceptance of Terms

By accessing or using the Bankee platform, SDK, APIs, or any related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you must not use the Services.

2. Description of Services

Bankee Technologies OÜ provides payment infrastructure software, including SDKs, APIs, and developer tooling, enabling device manufacturers and technology partners to integrate payment capabilities into their products.

The Services may include access to open banking rails, card network integrations, stablecoin payment infrastructure, and agentic payment protocol implementations as described in our documentation.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to use the Services. The Services are intended for business and developer use. Use by consumers for personal payment transactions is not the intended purpose of the Bankee platform.

4. Account Registration and Security

To access certain Services, you may be required to create an account and obtain API credentials. You are responsible for:

• Maintaining the confidentiality of your API keys and credentials. • All activity that occurs under your account. • Notifying us immediately of any unauthorised access or security breach at security@bankee.ai.

We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.

5. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms and our documentation. You must not:

• Use the Services in any way that violates applicable Estonian law, EU law, or any other applicable regulation. • Attempt to reverse-engineer, decompile, or extract source code from our proprietary systems. • Use the Services to facilitate money laundering, terrorist financing, fraud, or any other financial crime. • Circumvent any rate limits, access controls, or security measures. • Resell or sublicense the Services without prior written consent from Bankee. • Use the Services in a manner that disrupts or degrades their availability for other users.

6. Payment and Fees

Use of certain Services may be subject to fees as set out in your commercial agreement with Bankee. Where applicable:

• Fees are invoiced monthly in arrears unless otherwise agreed. • All fees are exclusive of VAT and applicable taxes, which are your responsibility. • Late payments may incur interest in accordance with the EU Late Payment Directive (2011/7/EU) as implemented under Estonian law.

Free tier and developer programme access is provided at Bankee's discretion and may be withdrawn or modified at any time.

7. Intellectual Property

All intellectual property rights in the Bankee platform, SDK, APIs, documentation, and related materials are owned by Bankee Technologies OÜ or its licensors.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your internal business purposes.

Open source components included in our SDKs are governed by their respective licences, which are identified in our repository documentation.

8. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the processing of data as described in the Privacy Policy.

Where you process personal data of end users using our Services, you are the data controller and must have appropriate legal bases for such processing in accordance with the EU GDPR and applicable Estonian data protection law.

9. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not warrant that:

• The Services will be uninterrupted, error-free, or free from harmful components. • Any results obtained from use of the Services will be accurate or reliable. • The Services will meet your specific requirements.

Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory Estonian or EU law, including liability for death or personal injury caused by negligence or fraudulent misrepresentation.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Bankee's total aggregate liability to you in connection with the Services shall not exceed the greater of: (a) the fees paid by you to Bankee in the 12 months preceding the claim; or (b) €500.

In no event shall Bankee be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility of such damages.

11. Termination

Either party may terminate the Services agreement on 30 days' written notice. We may suspend or terminate your access immediately where:

• You materially breach these Terms. • We are required to do so by applicable Estonian or EU law or regulation. • We reasonably believe continued provision creates legal or regulatory risk.

Upon termination, you must cease using the Services and delete any Bankee credentials or proprietary materials in your possession.

12. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia and applicable European Union law. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia.

For disputes involving EU consumers, mandatory consumer protection provisions of the consumer's country of residence may also apply.

13. Changes to These Terms

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes via email or a notice on our website. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
